Agreement to Terms

By accessing or using LuminaryHD (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms, together with our Privacy Policy, govern your use of the Service.

Description of Service

LuminaryHD is a patient-directed health data platform. We act as your authorized agent to retrieve, store, and share your medical records on your behalf. We participate in the Trusted Exchange Framework and Common Agreement (TEFCA) as an Individual Access Services (IAS) provider, which enables us to request your health records from participating healthcare providers at your direction.

We do not provide medical care, diagnosis, or treatment. We do not create or modify your health records. All actions we take with your data are initiated and directed by you.

Our Role as Your Agent

When you use LuminaryHD, you authorize us to act as your agent for the limited purposes of:

• Requesting and retrieving your health records from healthcare providers on your behalf
• Storing your health records securely for your access
• Transmitting your health records to third parties you designate

This authorization does not make us a healthcare provider, and we do not assume any responsibilities of a healthcare provider. We act solely at your direction and on your behalf.

Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms.

User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities that occur under your account

Identity Verification

To protect your health information and comply with applicable laws, we require identity verification before retrieving your records. You agree to provide necessary documentation and information for this process. We use this information solely to verify your identity and authorize record requests on your behalf.

Authorization and Consent

Retrieving Your Records

By requesting retrieval of your health records, you authorize us to submit requests to healthcare providers on your behalf. You understand that:

• We request records as your authorized agent, not as a healthcare provider
• Healthcare providers may take time to respond to requests
• We cannot guarantee that all providers will fulfill requests or that records will be complete
• Records we receive reflect what providers have on file and may contain errors originating from those providers

Sharing Your Records

When you choose to share your records with a third party (such as a law firm, insurance provider, healthcare provider, or other recipient), you explicitly authorize us to transmit the specified records to that recipient. You understand that:

• You control each sharing transaction and must confirm before transmission
• Once shared, the recipient's own terms and privacy practices govern their use of your information
• We are not responsible for how recipients use, store, or protect your information after transmission
• You should review the recipient's privacy practices before authorizing a share

You may revoke authorization for future sharing at any time, but revocation does not affect data already transmitted at your prior direction.

Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload viruses or malicious code
• Impersonate another person or attempt to access another person's health records
• Use the Service to commit fraud or misrepresent your identity
• Violate any applicable laws or regulations

Data Accuracy Disclaimer

We retrieve health records from healthcare providers and transmit them to you and parties you designate. We do not create, modify, or verify the accuracy of medical information contained in your records. If you believe your records contain errors, you should contact the originating healthcare provider directly to request corrections.

Intellectual Property

The Service and its original content, features, and functionality (excluding your health records) are owned by LuminaryHD and are protected by copyright, trademark, and other intellectual property laws. You retain all rights to your personal information and health records.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• Health records retrieved will be complete or accurate
• All healthcare providers will respond to record requests
• The Service will meet your specific requirements

WE DO NOT PROVIDE MEDICAL ADVICE. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE, DIAGNOSIS, OR TREATMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMINARYHD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR DAMAGES ARISING FROM:

• Your use of or inability to use the Service
• Errors or omissions in health records retrieved through the Service
• Unauthorized access to your account or data
• Actions taken by third parties with whom you shared your records
• Any interruption or cessation of the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless LuminaryHD and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your sharing of health records with third parties
• Any dispute between you and a third party with whom you shared records

Third-Party Recipients

When you share your health records with third parties through the Service, those recipients are independent parties and not our agents, employees, or partners. We do not control and are not responsible for their actions, privacy practices, or compliance with applicable laws. Any disputes arising from a recipient's use of your shared records are between you and that recipient.

Termination

By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, you may request deletion of your data in accordance with our Privacy Policy.

By Us

We may suspend or terminate your account and access to the Service if:

• You breach these Terms
• We are required to do so by law
• We reasonably believe your account has been compromised
• You engage in fraudulent or illegal activity

We will provide notice before termination where practicable, except in cases of fraud, illegal activity, or security concerns.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain or delete your data in accordance with our Privacy Policy and applicable law. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.

Dispute Resolution

Informal Resolution

Before filing any formal legal action, you agree to contact us at legal@luminaryhd.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration

If we cannot resolve the dispute informally, you and LuminaryHD agree to resolve any claims arising from these Terms or the Service through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in Delaware or another mutually agreed location. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.

Class Action Waiver

YOU AND LUMINARYHD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may bring claims in small claims court if eligible. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LuminaryHD regarding the Service and supersede any prior agreements.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. For significant changes, we may also notify you by email. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service.
